TERMS OF SERVICE

Terms of Service for ADSIDERA SEMPER FESTIVALEffective Date: April 1, 2021
These Terms of Service (“Terms”) govern your attendance and participation in the ADSIDERA SEMPER FESTIVAL (the “Festival”), produced and commercialized by Bocas Touristic Development S.A. (“BTD”) under license from Adsidera LLC. By purchasing a ticket, registering for, or attending the Festival, you agree to be bound by these Terms. These terms are subject to change.

Event Information:

The Festival is scheduled for October 31st to November 5th, 2025. The first night’s events will take place in Panama
City, followed by subsequent events in Bocas del Toro, Panama. Specific locations and schedules are subject to change.

Tickets and Refunds:

All tickets and packages sales are final. No refunds will be issued under any circumstances, including but not limited to climate difficulties, flight cancellations, or artist cancellations.

Assumption of Risk and Liability Waiver:

Attendance at the Festival is at your own risk. You acknowledge and agree that Adsidera LLC, BTD, their owners, teams, employees, and affiliates are not responsible for any accidents, injuries, losses, or damages that may occur during the Festival. You assume full civil responsibility for your actions and well-being.

Health Insurance:

You are responsible for obtaining and maintaining appropriate health insurance coverage for the duration of the Festival. Neither Adsidera LLC nor BTD provide health insurance.

Legal and Safety Regulations:

You agree to comply with all applicable local, regional, and national laws and regulations, as well as all Festival rules and safety guidelines.

Third-Party Services:

The Festival may utilize third-party services for accommodations, transportation, and other logistical needs. Adsidera LLC and BTD are not responsible for any delays, cancellations, safety issues, or accidents related to these third-party services. You agree to hold harmless Adsidera LLC and BTD from any liability arising from your use of these services.

Media Release:

By attending the Festival, you grant Adsidera LLC and BTD the irrevocable right to use your image, likeness, voice, and contact information in any photos, videos, or other media captured during the event. This includes the right to use these materials for promotional purposes on social media, websites, or other marketing channels.

Indemnification:

You agree to indemnify and hold harmless Adsidera LLC, BTD, their owners, teams, employees, and affiliates from any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your attendance at the Festival, your breach of these Terms, or your violation of any law or the rights of a third party.

Governing Law:

Governing Law. This Agreement, and any dispute, controversy, or claim arising out of or relating to this Agreement, shall be governed by and construed in accordance with the laws of [Delaware/Panama], without regard to its conflict of law principles. Notwithstanding the foregoing, the parties may mutually agree in writing to apply the laws of a different jurisdiction to any particular dispute, controversy, or claim.

Severability:

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement:

These Terms constitute the entire agreement between you and Adsidera LLC and BTD with respect to the Festival and supersede all prior or contemporaneous communications and proposals, whether oral or written.
By attending the ADSIDERA SEMPER FESTIVAL, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

General Information about ADSIDERA SEMPER FESTIVAL:
The ADSIDERA SEMPER FESTIVAL is an annual electronic music festival held in Bocas del Toro, Panama. It features a mix of international and local DJs, wellness activities such as yoga and meditation, and aims to create a transformative experience combining music, nature, and community. The festival has generated some controversy in the past due to concerns about its environmental impact on the local ecosystem, particularly concerning sea turtle nesting sites. However, organizers have stated their commitment to minimizing negative impacts and working with local authorities to ensure the event’s sustainability. AD SIDERA DISCLAIMER OF LIABILITY

By purchasing or receiving a ticket, registering for, or attending the AD SIDERA SEMPER FESTIVAL (the “Festival”), you acknowledge and agree to the following terms:
Assumption of Risk: You understand and accept that attendance at the Festival carries inherent risks, including but not limited to risks associated with travel, weather, crowds, the consumption of food and beverages, and the actions of other attendees. You voluntarily assume all such risks and agree to attend the Festival at your own risk.
Release of Liability: You hereby release and forever discharge Adsidera LLC, Bocas Touristic Development S.A., their respective owners, officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the “Released Parties”) from any and all liability, claims, demands, actions, and causes of action whatsoever arising out of or related to any loss, damage, or injury, including death, that may be sustained by you or to any property belonging to you, whether caused by the negligence of the Released Parties or otherwise, while participating in or attending the Festival.
No Refunds: All ticket sales are final. No refunds will be issued under any circumstances, including but not limited to event cancellation, postponement, acts of God, inclement weather, travel disruptions, artist cancellations, or any other reason.
Third-Party Services: The Festival may utilize third-party vendors for accommodations, transportation, and other services. The Released Parties are not responsible for the acts or omissions of these third-party vendors and shall have no liability whatsoever arising out of or related to any loss, damage, or injury, including death, that may be sustained by you or to any property belonging to you, whether caused by the negligence of such third-party vendors or otherwise.
Medical Treatment: You are solely responsible for your own health and medical care. You acknowledge that the Released Parties are not responsible for providing medical services or insurance. You agree to be financially responsible for any medical treatment required during the Festival.
Compliance with Laws and Rules: You agree to comply with all applicable laws, regulations, and Festival rules.
Governing Law: This Disclaimer shall be governed by and construed in accordance with the laws of [Delaware/Panama], without regard to its conflict of law principles. Notwithstanding the foregoing, the parties may mutually agree in writing to apply the laws of a different jurisdiction to any particular dispute, controversy, or claim.

By attending the Festival, you acknowledge that you have read, understood, and agree to be bound by this Disclaimer of Liability.
